These Terms and Conditions ("Terms") govern your access to and use of the Terrapin website, mobile applications, and associated services (collectively, the "Service"). By accessing or using Terrapin, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility and Account Registration

You must be at least 18 years of age to create an account and use the Service. By registering, you represent and warrant that all information provided is accurate and complete. You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account.

2. Subscription and Billing

2.1 Annual Subscription

Terrapin operates on an annual billing cycle of $150 per year. All payments are processed via Chargebee and are subject to their payment terms.

2.2 Free Trial (Beta Users Only)

Users accepted into our Beta Program receive a one-month free trial. At the end of the trial, users must either:

• Upgrade to a paid subscription

• Delete their account

Trial access may be extended on a case-by-case basis due to product feedback or bug reports.

2.3 Renewals and Cancellations

Subscriptions automatically renew annually unless canceled. You may cancel your subscription at any time via your account settings. Cancellations take effect at the end of the current billing cycle.

3. Refund Policy

New, full-price annual subscribers may request a refund within 30 days of purchase, provided:

• Fewer than 100 receipts have been processed

• No exports (CSV, PDF, email, or integrations) have occurred

• No third-party or CPA access has been granted

Refund requests must be submitted via in-app chat and are subject to review. Abuse of the refund policy may result in denial.

4. Use of the Service

4.1 Permitted Use

You may use Terrapin solely for lawful purposes related to managing and categorizing your receipts and expenses. You agree not to:

• Upload fraudulent, offensive, or malicious content

• Circumvent or disable platform limitations or security features

• Use the Service to train competing AI or data extraction tools

4.2 Prohibited Behavior

We reserve the right to suspend or terminate your account if you:

• Violate these Terms

• Engage in abusive behavior towards our staff or other users

• Attempt to exploit or reverse-engineer our platform

5. Beta Program Participation

By joining the Beta Program, you acknowledge that:

• The Service is under active development

• Features may change or be removed without notice

• Bugs or outages may occur

• Your data may be reset or lost

Beta users are expected to provide feedback. Participation may be terminated at any time.

6. Financial and Data Integrations

Terrapin may integrate with financial data aggregators such as Plaid. By using these integrations, you authorize Terrapin to access account and transaction information for the purpose of expense classification, categorization, and enrichment. Your login credentials are never stored by Terrapin.

With your explicit consent, our mobile application may also access:

• Photos: for receipt image processing

• Messages: to detect receipts in SMS or messaging platforms (where permitted)

• Wallet: to access transaction or receipt data stored in digital wallets

• Location: to associate expenses with specific locations

• Calendar: to match receipts to events or appointments

• Email Accounts (e.g., Gmail, Outlook): to ingest receipts and invoices sent to your inbox

These features are optional and require active user permission.

7. Intellectual Property

All content, software, and trademarks associated with Terrapin are the exclusive property of Terrapin Software Inc.. You may not copy, modify, distribute, or reverse engineer any part of the Service without written permission.

8. Data & Privacy

Your use of the Service is governed by our Privacy Policy. We collect, use, and share data in accordance with applicable laws including GDPR and CCPA. For full details, see the Privacy Policy [insert link].

9. Service Availability and Support

We aim for 99.9% uptime excluding scheduled maintenance. Support is available via Intercom Monday–Friday, 9am–5pm GMT. We may suspend service temporarily for maintenance or security updates.

10. Disclaimer and Limitation of Liability

The Service is provided "as is" and without warranties of any kind. To the fullest extent permitted by law, Terrapin disclaims liability for any indirect, incidental, or consequential damages arising from your use of the Service.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware and the State of New York. Any disputes shall be resolved through binding arbitration or in courts located in those jurisdictions, unless otherwise required by law.

12. Changes to Terms

We may update these Terms from time to time. Continued use of the Service after changes are posted constitutes your acceptance.
